Investment Criteria
We want to back companies that are past the start-up phase of their existence, so we look for meaningful trailing revenue and established, recognizable customers.
Generally, Wellington Financial LP transactions are between $2 million and $10 million in size. Our syndicate relationships allow us to issue term sheets of up to $40 million, where appropriate. Wellington clients vary in size and business model, but generally have current year revenue in excess of $5 million.
Our firm is not designed to play the role of a venture capitalist, so pre-revenue firms looking for sponsorship are most likely to find success with one of the dozens of established angel investors or venture capital firms in Canada. For those with the highest-quality early-stage business opportunities we may be able to direct you to an appropriate party, if requested.
Our investment criteria:
- We seek out mid to later stage private companies with existing external financing sources, suitable senior management, good corporate governance, obvious business and market opportunities.
- Minimum estimated valuation of approximately $10 million;
- Revenue in the range of $5 million on a runrate basis;
- Current asset coverage (such as accounts receivable, saleable inventory, etc.); and/or
- Identifiable and owned intellectual property in the absence of hard assets.
- Existing public companies.
- Minimum market capitalization of $10 - $20 million;
- Run rate revenue of at least $10 million;
- Asset coverage (such as accounts receivable, saleable inventory, etc.); and
- Identifiable and owned intellectual property in the absence of hard assets.
- Underwrite loans of $2 million to approximately $10 million in size. $1 million minimum for operating lines. Will syndicate larger transactions to our network of high quality institutions.
- Usually "secured" by forecast cash flow, hard assets, intellectual property, etc.; occasionally second senior secured.
